Partner Terms and Conditions

These Terms and Conditions ("Terms") govern the access to and use of the Kourierly Partner mobile application, related websites, support channels, features, and services by delivery partners, applicants, and account holders.

By registering, accepting these Terms, logging in, remaining active on the platform, or otherwise using the Kourierly Partner app, the partner agrees to be bound by these Terms and by any related policies, code-of-conduct rules, operational guidelines, feature-specific rules, promotional terms, subscription terms, and lawful instructions issued by Kourierly from time to time.

1. Nature of Relationship

• Unless expressly agreed otherwise in a separate written contract, the partner acts as an independent contractor and not as an employee, worker, agent, franchisee, representative, or joint-venture partner of Kourierly.
• Nothing in these Terms creates any employment relationship, guaranteed income, guaranteed order volume, social-security entitlement, exclusivity obligation, or continuing right to access the platform.

2. Eligibility and Onboarding

To register and remain active as a partner, the partner must:

• Be at least 18 years old or the minimum lawful age applicable in the relevant jurisdiction.
• Be legally eligible to perform delivery services.
• Provide accurate, current, complete, and truthful information at all times.
• Maintain all required licenses, permits, registrations, vehicle documents, insurance, tax documents, pollution certificates, identity documents, and any other records requested by Kourierly or required by law.

Kourierly may request additional documents, re-verification, self-declarations, live verification checks, or account reviews at any time for fraud prevention, safety, compliance, quality control, or legal reasons.

3. Account and Security

• The partner is solely responsible for maintaining the confidentiality and security of account credentials, OTPs, registered devices, and any access methods used with the Kourierly Partner app.
• The partner must not sell, transfer, lend, rent, share, or otherwise allow another person to use the account unless expressly authorized by Kourierly in writing.The partner must immediately notify Kourierly of suspected account compromise, unauthorized access, impersonation, or misuse.

4. Platform Access and Service Changes

• Kourierly may add, remove, update, suspend, restrict, replace, or discontinue any feature, city, service area, partner category, plan, referral scheme, reward program, promotion, subscription offering, pricing model, workflow, benefit, onboarding requirement, or operational process at any time, with or without prior notice, to the fullest extent permitted by applicable law. Access to the app or any feature is a revocable privilege and not a vested right.
• The partner acknowledges that future paid features, subscription plans, premium partner services, lead-priority benefits, promotion-based benefits, or other monetized partner tools may be introduced after launch. Kourierly may determine eligibility, pricing, billing structure, availability, duration, benefits, renewal rules, cancellation rules, and feature access for such offerings in its sole discretion, subject to applicable law.

5. Partner Responsibilities

The partner agrees to:

• Follow all applicable laws, road-safety requirements, transport rules, licensing obligations, and lawful directions relating to delivery operations.
• Maintain the vehicle, phone, fuel, network connectivity, equipment, and working conditions necessary to perform deliveries safely and lawfully.
• Conduct deliveries professionally, honestly, and with reasonable care toward customers, merchants, goods, and Kourierly’s platform.
• Submit only true, accurate, valid, and current information and documents.
• Keep customer, merchant, route, pricing, order, platform, and support information confidential except where disclosure is lawfully required or necessary to complete the delivery.
• Promptly report accidents, incidents, suspicious packages, payment disputes, complaints, prohibited items, unsafe conditions, document expiry, or other material issues.

6. Prohibited Conduct

The partner must not engage in, attempt, facilitate, support, or conceal any of the following:

• Delivering, carrying, storing, or handling illegal, stolen, counterfeit, prohibited, restricted, dangerous, unsafe, or unlawful goods, including narcotics, contraband, weapons, explosives, banned substances, or any items prohibited by law or by Kourierly policies.
• Opening, tampering with, replacing, misappropriating, stealing, damaging, withholding, destroying, misrouting, or unlawfully disposing of any package, order, or customer or merchant property.
• Creating fake orders, fake referrals, fake accounts, manipulated activity, bonus abuse, collusion, self-booked orders, false completion reports, payment abuse, GPS spoofing, or any fraudulent or deceptive practice.
• Using abusive, threatening, discriminatory, violent, sexually inappropriate, harassing, coercive, or offensive behavior toward customers, merchants, Kourierly staff, or third parties.
• Using the platform while intoxicated, impaired, medically unfit, dangerously fatigued, or otherwise unfit to perform services safely.
• Sharing or misusing customer data, OTPs, addresses, phone numbers, payment information, merchant information, or internal platform information beyond what is strictly necessary for legitimate delivery operations.
• Allowing another person to operate under the partner’s account or identity without authorization.
• Circumventing platform controls, reverse engineering the app, introducing malware, scraping non-public data, exploiting bugs, or interfering with the security or integrity of the platform.
• Misrepresenting Kourierly, its offers, its policies, its fees, its support teams, or the availability of any program or reward.

Kourierly may publish additional prohibited-item lists, service-area rules, operational policies, onboarding rules, verification rules, and safety instructions from time to time, and those shall form part of these Terms once communicated through the app, website, support channels, onboarding materials, or any other reasonable method.

7. Earnings, Payments, Rewards, Promotions, and Subscriptions

Any earnings displays, promotional offers, bonus structures, referral programs, rewards, subscription plans, premium partner tools, loyalty benefits, discounts, coupons, credits, pricing displays, or similar benefits shown in the app are subject to platform rules, verification, eligibility, fraud checks, serviceability, city availability, time limits, usage limits, campaign conditions, and operational requirements. Such offerings may be modified, suspended, delayed, withdrawn, reversed, forfeited, recalculated, or discontinued at any time, with or without prior notice, to the extent permitted by law.

Kourierly shall have the right to determine, revise, or discontinue the structure, pricing, billing, benefits, availability, and terms of any present or future subscription plan or partner-facing paid feature. Unless otherwise expressly required by applicable law, Kourierly shall not be obligated to provide individualized advance notice before changing or discontinuing a reward, promotion, referral scheme, or subscription-related benefit.

Where the service model permits direct payment from customers to partners through cash or UPI, the partner remains solely responsible for lawful handling of such payments, including correct collection, acknowledgements where required, safeguarding of cash, tax compliance, and prevention of misuse or fraud.

8. No Guarantee

Kourierly does not guarantee any minimum number of orders, earnings, customer demand, online hours, rewards, subscription benefits, referral outcomes, support response times, feature availability, or uninterrupted access to the app or platform. Market demand, operations, city rollouts, serviceability, technology limitations, business priorities, safety issues, and legal requirements may affect availability and outcomes at any time.

9. Fees, Taxes, and Costs

Unless expressly agreed otherwise in writing, the partner is solely responsible for personal taxes, licenses, insurance, fuel, maintenance, data charges, mobile expenses, vehicle costs, penalties, compliance costs, and other expenses associated with performing delivery services. The partner is also responsible for complying with all tax, financial, legal, and regulatory obligations applicable to the services performed.

10. Complaints, Monitoring, and Investigation

Kourierly may monitor account activity, ratings, complaints, cancellations, fraud signals, document validity, support history, route anomalies, delivery patterns, payment disputes, and other operational or compliance indicators. The partner agrees to cooperate with audits, reviews, or investigations and to provide truthful explanations, supporting documents, or further verification when requested. Kourierly may take interim action, including temporary restrictions, while an investigation is pending.

11. Suspension, Restriction, Deactivation, and Termination

Kourierly may suspend, restrict, deactivate, terminate, or permanently ban an account immediately, with or without prior notice, where reasonably necessary due to suspected fraud, safety concerns, policy violations, abusive conduct, illegal activity, prohibited deliveries, document expiry, false information, platform misuse, legal risk, operational concerns, government instructions, repeated complaints, or any conduct that may expose Kourierly, its users, merchants, or the public to risk.

Kourierly may also reverse rewards, withhold eligibility for certain features, deny access to promotions, cancel subscriptions or benefits, recover losses where legally permitted, or maintain internal records of enforcement actions taken against a partner.

12. Account Deletion and Exit

If the app includes an in-app account deletion option, the partner may use that feature to request deletion. Kourierly may also make available a website-based deletion process. Account deletion does not affect Kourierly’s right to retain records where necessary for legal, tax, audit, fraud-prevention, safety, dispute, insurance, or regulatory purposes, as more fully described in the Privacy Policy.

13. Intellectual Property

All rights, title, and interest in the Kourierly Partner app, software, branding, trademarks, content, interfaces, data compilations, workflows, designs, and related materials remain owned by Kourierly or its licensors. The partner receives only a limited, revocable, non-exclusive, non-transferable right to use the app strictly for authorized partner activity in accordance with these Terms.

14. Disclaimers

To the fullest extent permitted by law, the Kourierly Partner app and related services are provided on an "as is" and "as available" basis, without warranties of uninterrupted availability, merchantability, fitness for a particular purpose, title, or non-infringement. Delays, outages, route issues, third-party service failures, device limitations, connectivity issues, city-level conditions, merchant conduct, customer conduct, or regulatory developments may affect the service.

15. Limitation of Liability

To the maximum extent permitted by law, Kourierly, its affiliates, officers, employees, service providers, and agents shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including lost profits, lost opportunities, business interruption, reputational harm, or data loss, arising out of or related to the app, promotions, subscriptions, incentives, delays, outages, complaints, disputes, accidents, enforcement actions, or partner misconduct. Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Indemnity

The partner agrees to indemnify and hold harmless Kourierly, its affiliates, officers, employees, agents, and service providers from and against claims, demands, losses, liabilities, fines, penalties, damages, costs, and expenses, including reasonable legal fees, arising out of or related to the partner’s breach of these Terms, illegal acts, fraud, unsafe conduct, regulatory non-compliance, misuse of the platform, tax failures, document failures, infringement of third-party rights, or violation of law, except to the extent caused by Kourierly’s own non-excludable legal fault.

17. Changes to Terms

Kourierly may amend, revise, supplement, or replace these Terms from time to time to reflect changes in law, business model, product features, city launches, pricing, subscriptions, incentives, promotions, partner services, onboarding rules, fraud controls, or operational practices. Updated Terms may be posted in the app, on the website, or communicated through other reasonable channels. To the extent permitted by applicable law, Kourierly shall not be required to provide individualized prior notice of every modification, and continued use of the platform after an update may constitute acceptance of the revised Terms.

18. Governing Law and Jurisdiction

These Terms should be finalized after review by local counsel and should specify the correct governing law and jurisdiction based on Kourierly’s legal entity and principal place of business.

Jurisdiction / Courts: Courts of Chennai, Tamil Nadu

Dispute process: Disputes shall first be attempted to be resolved through mutual discussion. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu.
